Glasswing Cloud Terms & Conditions

This agreement is a binding legal contract between you ("User" or "you") and Glasswing Cloud  (TRADESQUARE PTY LTD 97 640 578 614), a company incorporated under the laws of Victoria, Australia, ("Glasswing Cloud," "we," "us," or "our").
By accessing or using our services, including our website at https://app.glasswing.cloud and any related software, applications, or services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

1. Definitions

"Account" means the user account created to access and use the Services.
"Content" means all information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials generated, provided, or made accessible through the Services.
"Intellectual Property Rights" means all intellectual property rights including patents, copyrights, trademarks, trade secrets, and other proprietary rights recognised in any jurisdiction.
"User Data" means all electronic data or information submitted by you to the Services.

2. Services and Access

Glasswing Cloud will provide access to its Services as described in the applicable Order Form. Access may be subscription-based or time-limited (for example, pilots or trials). Customers are responsible for providing the necessary infrastructure, network connectivity, and credentials.

3. Customer Responsibilities

Customers agree to:
- Maintain the confidentiality of all account credentials.
- Use the Services in compliance with applicable laws and regulations.
- Not attempt to reverse engineer, modify, or resell the Services without written consent.
- Ensure any data uploaded does not violate intellectual property rights or contain unlawful material.

4. Data Ownership & Use

- Customer Data: You retain all rights to the data you upload or process through the Services.
- Glasswing Cloud Rights: We may use aggregated and anonymized usage data to improve the Services. No personal or identifying information will be shared without consent.
- Data Protection: Glasswing Cloud implements security controls consistent with SOC 2 requirements, including access controls, monitoring, and data encryption.

5. Security & Confidentiality

- Glasswing Cloud maintains policies, controls, and procedures aligned with SOC 2 and ISO 27001 standards.
- Both parties agree to protect each other’s confidential information and use it only for the purposes of this agreement.
- Customers must promptly report any suspected unauthorized use of their account.

6. Intellectual Property

All rights, titles, and interests in the Services, underlying software, algorithms, and enhancements remain the property of Glasswing Cloud. No rights are granted except as expressly set out in these Terms.

7. Fees and Payments

- Fees and billing terms are set out in the applicable Order Form.
- All fees are payable in AUD within 30 days of invoice, unless otherwise agreed.
- Fees exclude applicable taxes, which are the responsibility of the customer.
- Late payments may accrue interest at the maximum rate allowed by law.

8. Term & Termination

- The initial term and renewal terms are defined in the Order Form.
- Either party may terminate with 30 days’ written notice prior to renewal.
- Either party may terminate immediately for material breach.
- Upon termination, access to the Services ends and Customer Data will be deleted within 60 days, unless otherwise required by law.

9. Warranties & Disclaimers

Glasswing Cloud will provide the Services with commercially reasonable skill and care. Except as expressly stated, the Services are provided “as is” and we disclaim all other warranties, including merchantability, non-infringement, and fitness for a particular purpose.

10. Limitation of Liability

To the maximum extent permitted by law:
- Glasswing Cloud will not be liable for indirect, incidental, or consequential damages.
- Our total liability for all claims in any 12-month period will not exceed the fees paid by the customer during that period.

11. Indemnification

You agree to indemnify and hold harmless Glasswing Cloud and its affiliates against claims, damages, and expenses arising from your misuse of the Services, breach of these Terms, or violation of applicable laws.

12. Audit Rights (SOC 2 Requirement)

- Customers may request reasonable information about Glasswing Cloud’s security and compliance controls.
- Glasswing Cloud may provide summaries of SOC 2 or ISO 27001 reports under NDA.
- Direct audits may be requested but must be agreed in writing, limited in scope, and at the customer’s expense.

13. Governing Law

These Terms are governed by the laws of Victoria, Australia. Both parties submit to the exclusive jurisdiction of the courts of Victoria.

14. Changes to Terms

We may update these Terms from time to time. Updated versions will be posted on our website. Continued use after changes take effect constitutes acceptance.

15. Entire Agreement

These Terms, together with any applicable Order Form and our Privacy Policy, constitute the full agreement between the parties and supersede all prior understandings.
